Founder Members – Membership Agreement

This is an Agreement between You, the Member, and Us, LCD Holdings Limited (trading as Strength Factory) a company incorporated in Gibraltar with incorporation number 113285 and having its registered address at 57/63 Line Wall Road Gibraltar (“Us” or “We”).

By following our joining process you are accepting the terms and conditions in this Membership Agreement. You should only join if you are willing to accept these terms.

1. Your membership and the contractual arrangement under this Membership Agreement will commence when you have accepted these terms by ticking the acceptance box that can be found at the bottom of this page. By accepting the terms you are agreeing to pay the joining fee, which shall be £50.00 (fifty pounds) and an annual fee of £348.00 which is payable in advance and not later than fifteen days from the date when you have accepted these terms by ticking the aforementioned acceptance box.
2. The joining fee and the annual fee referred to in clause 1 above (hereinafter referred to together as the “Founder Member Fees”) are both non-refundable.
3. Once you have paid the Founder Member Fees, you are entitled to access and use our gym during its opening hours for a period of twelve months after which your membership with us will expire.
4. Upon expiry of the twelve month period referred to in clause 3 above, you may renew your membership with us on a monthly basis by simply paying us a monthly membership fee which shall equate to 15% less than our standard monthly rate. [Upon receipt by us of such monthly fee, your membership with us will automatically renew.]
5. We reserve the right to amend these terms and conditions from time to time. If we do amend these terms we will notify our members of such amendments by posting a notice on our website which has the domain name www.strengthfactory.gi. It is your obligation to visit the website from time to time to check whether these terms have been amended. If you do not agree with the amended terms, you can terminate your membership with us immediately. Any fees already paid, however, shall not be refunded.
6. You may complain to us by e-mailing info@strengthfactory.gi.
7. You agree to pay us any fees associated with this Membership Agreement by direct debit.
8. Subsequent monthly membership payments are due on the same day of subsequent months.
9. You agree to comply with our Gym Membership Rules.
10. You confirm that you are at least 16 years old.
11. You consent to, and waive any and all claims in respect of, your image being recorded by 24 hour CCTV for security purposes and reviewed at our discretion by our employees and contractors.
12. You must use the gym facilities and equipment in the proper manner at all times and you must consult a member of staff if you are unsure.
13. You will be liable for any damage caused to our equipment or facilities through your negligent use.
14. You consent to incidental inclusion in marketing photographs of our premises that we may take from time to time.
15. You agree that you have understood our privacy policy which is available here.
16. We reserve the right to change the access privileges of members. This includes access to the gym and gym equipment, changing areas and personal trainers or staff for general advice. We will make reasonable endeavours to communicate to you in advance if we are unable to make available to you the rights and privileges of membership.
17. We will endeavour to reopen facilities as soon as is reasonably possible in these circumstances.
18. We may terminate this Membership Agreement and your membership with immediate effect if you do not pay any applicable fees when they fall due.
19. We may terminate this Membership Agreement and cancel your membership with immediate effect on notice to you if you breach any of our Gym Membership Rules. In this event you will no longer be able to access any of our facilities and we will not give any refund.
20. If we do not terminate your membership if you breach any of the Gym Membership Rules, or if we give you extra time to pay if you do not pay any applicable fees when they fall due, we may subsequently enforce the terms of this Membership Agreement.
21. We may communicate gym and fitness related information to you by email or SMS.
22. We may assign the benefit of this Membership Agreement and our rights to a third party provided we give you notice and your rights under this Membership Agreement will not be prejudiced.
23. LCD Holdings Limited, its parent companies, its agents, employees and subcontractors are not liable for any loss, damage or theft of any of your property that you bring onto any of our premises. If such loss, damage or theft is caused by the negligent acts or omissions of LCD Holdings Limited or its agents, employees or subcontractors, our liability to you will be limited to [£500].
24. We may close our premises with reasonable notice and at our discretion for reasonable periods of time to carry out maintenance, repairs, refurbishment or cleaning or for other reasons outside of our control. We will not be responsible to you for not being able to access our facilities in these circumstances.
25. We are not liable for any injury you suffer through the incorrect use of our equipment of facilities.
26. We may make reasonable changes to any of our rules, policies or terms and conditions at any time.
27. Only you can benefit from this Membership Agreement.
28. If any of the terms of this Membership Agreement are invalid, unenforceable or illegal the remaining terms can still be enforced.
29. This Membership Agreement is governed by the law of Gibraltar.
30. You should print a copy of this Membership Agreement for future reference.
31. Personal training sessions do not form part of this Membership Agreement and are not provided by us.
32. Any personal training sessions which you contract for or agree to pay for, do not form part of your Membership Agreement and the Terms & Conditions of this Membership Agreement will not apply to them.  You should be aware that if you enter into any agreement for additional services, you are entering into an agreement with those individuals and not with Us.
33. We do not accept any liability for any losses, damage, personal injury or other loss caused by any negligent act or omission of those providing the “additional services” which are specifically excluded from the Membership Agreement and We do not accept any responsibility for the same.
